    OFFICIAL CONTEST RULES

    1. SPONSOR. The Roots x Fred VanVleet Limited Edition Tuff Boot Contest (the “Contest”) is sponsored by Roots Corporation, 1400 Castlefield Avenue, Toronto, Ontario, M6B 4C4 (the “Sponsor”). Not sponsored, endorsed, administered by or associated with Facebook, Instagram, or Twitter.

    2. ELIGIBILITY. The Contest is open to legal residents of Canada and legal United States residents residing in the fifty (50) United States and Washington, D.C. who are at least eighteen (18) years of age and the age of majority in their province, territory or state of residence at time of entry. Employees of the Sponsor, its parent, related and affiliated companies, subsidiaries, departments or agencies, franchisees, suppliers, partners, advertising and promotional agencies, contest administrators, and any other parties engaged in the development, production or distribution of Contest materials and immediate family members and/or those living in the same household of each are ineligible to enter the Contest or win a prize. By participating in this Contest, entrants acknowledge compliance with, and agree to be bound by, these Contest Rules. Entrants who do not comply with any of these Contest Rules are subject to disqualification by the Sponsor, in the Sponsor’s sole discretion.

    3. CONTEST DATES AND TIMES. Contest begins on September 19, 2019 at 10:00 a.m. EDT and ends on September 26, 2019 10:00 a.m. EDT (“Contest Period”).

    4. By submitting your information and creating a Twitter, Instagram or Facebook account, you agree to the Twitter or Instagram or Facebook Terms of Use and Privacy Notice. If you do not agree to such Terms of Use and Privacy Notice, you cannot create a Twitter, Instagram or Facebook account, or participate in this Contest.

    During the Contest Period, look for the Contest announcement/post (the “Contest Post”) on Roots’ Instagram (@roots), Twitter (@roots) feed or Facebook Page (https://www.facebook.com/roots) To enter the Contest, you must:

    Limit one (1) entry per person per social media platform during the Contest Period. Entries received from any person or e-mail address in excess of the limitation stated will be void. By re-Tweeting the Contest Post along with #Contest, and/or by liking the Contest Post you affirm that you have read, understand and agree to these Official Rules. Entrants understand that they are posting at their sole risk. The Sponsor is not responsible for any claims arising from a comment, specifically including, but not limited to, claims for intellectual property infringement and privacy rights violations, as well as violations of the respective social media site’s terms and conditions.

    In the event a dispute regarding the identity of the individual who actually submitted an entry cannot be resolved to Sponsor’s satisfaction, in its sole discretion, the affected entry will be deemed ineligible. The Sponsor shall not be responsible for incorrect or inaccurate entry information whether caused by Internet users or by any of the equipment or programming associated with or utilized in the Contest or by any technical or human error, which may occur in the processing of the entries in the Sweepstakes. The Sponsor assumes no responsibility or liability for any error, omission, interruption, deletion, theft or destruction, or unauthorized access to, or alteration of entries. Incomplete entries will be disqualified. Proof of sending e-mail is not considered proof of delivery to or receipt by Sponsor of such entry.

    Comments/replies must be responsive to the “call to action” message and must not be obscene or offensive; must not depict alcohol, illegal drugs, tobacco, firearms/weapons, or any activities that may appear unsafe or dangerous or illegal; and must not be sexually explicit or suggestive, all as determined by the Sponsor in its sole discretion. The Sponsor may, in its sole discretion, alter or remove any comment/reply. Comments/replies must be suitable for presentation in a public forum, at the sole discretion of the Sponsor. Entries that are incomplete or generated by script, macro or other automated or mechanical means, that have been submitted through illicit means or by any means which subvert the entry process or that do not conform with or satisfy any or all of the conditions set out in the Official Rules will be void. Multiple entrants are not permitted to share the same social media account or email addresses.

    Any attempt or suspected attempt to use robotic, automatic, programmed, or otherwise, illicit means to enter the Contest, or any other methods not authorized by these Contest Rules, for example, but not limited to, creating multiple accounts, identities, or registrations, all in the Sponsor’s sole discretion, shall be deemed as tampering and may disqualify you from entering, participating and/or winning a prize.

    5. CONTEST PRIZES. There are two (2) prizes available to be won: each prize consists of a pair of Limited Edition FRED VANVLEET X ROOTS TUFF park plaid boots signed by Fred VanVleet (approximate retail value of each pair of boots is $228 CAD/$173 USD). Winners assume any and all liability for any injury or damage caused, or claimed to be caused, by entering or participating in this Contest or use or redemption of a prize. Prizes must be accepted as awarded. The prizes, nor any portion thereof, can be combined with other discounts, promotions or special offers. The Sponsor reserves the right to substitute an alternate prize of equal or greater value if a prize is unavailable at time of award, subject to the approval of the Régie des alcools, des courses et des jeux (the “RACJ”) for Quebec legal residents.

    6. ODDS OF WINNING. The odds of winning will depend on the number of eligible entries received before the Contest closes.

    7. WINNER SELECTION AND CONFIRMATION. The potential prize winners for the Contest will be randomly selected from all eligible entries received during the Contest Period. The potential prize winners will be selected on September 27, 2019 at 10:00 am EDT at 1400 Castlefield Toronto, Ontario and will be notified thereafter. The potential prize winners will be notified by direct message via the social media platform used for entry or a comment on their comment/reply to the Contest Post. The Sponsor shall have no liability for any winner notification that is lost, intercepted or not received by a potential winner for any reason. If, despite reasonable efforts, a potential winner does not respond within forty eight (48) hours of the first notification attempt, or if the prize or prize notification is returned as unclaimed or undeliverable to such potential winner, such potential winner will forfeit his or her prize and an alternate winner may be selected. Any potential prize winner may have to sign and return the Sponsor’s Declaration of Eligibility, Liability Release, and (where imposing such condition is legal) Publicity Release (collectively, “Prize Claim Documents”) prior to receiving the prize. The Sponsor, in its sole discretion, will attempt to contact up to three (3) potential winners of a prize in accordance with the above procedure, after which the prize in question may go unawarded if a potential winner cannot be contacted and/or does not return the completed Prize Claim Documents in the time frame required. If any potential prize winner is found to be ineligible, or if he or she has not complied with these Contest Rules or declines the prize for any reason prior to award, such potential prize winner will be disqualified and an alternate prize winner may be selected by way of random draw.

    Disputes regarding identity of entrant: If the identity of an entrant is disputed, the entry will be deemed to have been submitted by the Authorized Account Holder (the individual assigned to the social media account associated with the entry) as long as such person is otherwise eligible in accordance with these Official Rules. Each entrant may be required to provide proof that he/she is the Authorized Account Holder associated with an entry.

    8. RELEASE AND INDEMNIFICATION. The winners agree, as a condition of receiving the prize, to release, discharge and hold harmless the Sponsor, its departments and agencies, parent, related and affiliated companies, subsidiaries, franchisees, advertising and promotional agencies, counsel, marketing partners, Facebook, Instagram, and Twitter and each of their respective directors, officers, employees, shareholders, successors, sponsors, partners, licensees, subsidiaries, agents, artists, advisors, assignees, and all others associated with the administration, development and execution of the Contest (the “Released Parties”) from and against any and all manner of action, cause of action, claim or demand, loss or injury, use or misuse of a prize or any travel related thereto, and the use of the Entry by the Sponsor, suit, debt, covenant, contract, including legal fees and expenses, whatsoever, including but not limited to, claims based on negligence, (except for material injury caused by an intentional or gross fault if winner is a resident of Quebec), breach of contract and fundamental breach, failure of any third party contractor or supplier used in connection with any aspect of the Contest to perform or deliver any goods or services, any act of God or any other event beyond the Released Parties’ control, any dissatisfaction of any kind by a winner with any aspect of the Contest or any prize, liability for physical injury, death, or property damage which the entrants, guests, their heirs, successors or assigns have, might have or could have suffered, by reason of or arising out of an entrant’s participation in the Contest and/or in connection with the acceptance and/or exercise by the entrant of the prize as awarded; and (iv) indemnify the Released Parties against any loss, damage or expense, including legal fees, that any of the Released Parties may suffer or incur in connection with any claim or demand by any third party, including any 3rd party referred to or depicted in any entry, or as a result of any non-compliance by an entrant with any of the Contest Rules or participation in the Contest and/or in connection with the acceptance and/or exercise by an entrant of a prize and the use of the Contest entry by the Sponsor.

    9. OTHER CONDITIONS.

    Publicity and entrant information: By participating in this Contest, entrants consent to the use of their name, address, e-mail address, postal code, telephone number, social media handles, comments and image, whether on videotape, photograph or any other means for the administration of this Contest or any publicity carried out by the Sponsor, without further notice or compensation, unless prohibited by law.

    Law: The Contest is void where prohibited by law and subject to all applicable Canadian and United States federal, provincial, territorial, state, municipal and local laws. For residents of Quebec, any litigation respecting the conduct or organization of a publicity contest may be submitted to the “RACJ” for a ruling. Any litigation respecting the awarding of a prize may be submitted to the board only for the purpose of helping the parties reach a settlement. For residents of all other jurisdictions, this Contest shall be governed exclusively by the laws of the province of Ontario, including all issues and questions concerning the construction, validity, interpretation and enforceability of these Contest Rules, rights and obligations between entrants and the Sponsor, and procedural provisions, without giving effect to any choice of law or conflict of law rules. Any dispute shall be adjudicated by the courts sitting in Toronto, Ontario.

    Rule amendments: The Sponsor reserves the right, subject to the approval of the RACJ to amend these Contest Rules, or modify, cancel or suspend this Contest, without prior notice for any reason whatsoever, including without limitation in the event that any cause beyond the reasonable control of the Sponsor corrupts, or threatens to corrupt, the security or proper administration of the Contest. If the Contest is terminated before the designated end date, subject to the approval of the RACJ, the Sponsor will (if possible) select another winner(s) in a random drawing from all eligible, non-suspect entries received as of the date of the event giving rise to the termination. Inclusion in such drawing shall be each entrant’s sole and exclusive remedy under such circumstances.

    Intellectual Property: All intellectual property, including but not limited to trademarks, logos, designs, promotional materials, web pages, source codes, images, drawings, illustrations, slogans and representations are owned by the Sponsor. All rights are reserved. Unauthorized copying or use of any copyrighted material or other intellectual property without the express written consent of the Sponsor is strictly prohibited.

    1. SPONSOR. The Roots® Canada’s Team, Canada’s Collection Contest (the “Contest”) is sponsored by Roots Corporation, 1400 Castlefield Avenue, Toronto, Ontario, M6B 4C4 (the “Sponsor”). Not sponsored, endorsed, administered by or associated with or Instagram or Twitter.

    2. ELIGIBILITY. This Contest is open to Ontario residents only who are age of majority in their province at time of entry, with the exception of employees of the Sponsor, their parents, related and affiliated companies, subsidiaries, departments or agencies, franchisees, suppliers, partners, advertising and promotional agencies, contest administrators, and any other parties engaged in the development, production or distribution of Contest materials and those living in the same household. Entrants must either have a public Instagram or Twitter account. By participating in this Contest, entrants acknowledge compliance with, and agree to be bound by, these Contest Rules.       • Refer to the name of any person without permission from that person for you and the Sponsor to reproduce it.
      • Reproduce, whether by photograph or any other means, the image of any person without permission for you and the Sponsor to reproduce it.

      Sponsor may require any Entrant to obtain any 3rd party consent necessary for their entry, whether to satisfy intellectual property, privacy or any other laws, before accepting an Entrant’s entry into this Contest or using an Entrant’s essay for marketing, the administration of this Contest or any other purpose, any such consent(s) which may be required by the Sponsor being be the sole obligation and expense of the Entrant.

      All entries must be complete and are subject to verification by the Sponsor, in its sole discretion. Limit one (1) entry per day per person.

      Any attempt or suspected attempt to use robotic, automatic, programmed, or otherwise, illicit means to enter the Contest, or any other methods not authorized by these Contest Rules, for example, but not limited to, creating multiple accounts, identities, or registrations, all in the Sponsor’s sole discretion, shall be deemed as tampering and may disqualify you from entering, participating and/or winning a prize.     5. CONTEST PRIZES. There is one (1) prize available to be won consisting of 2 tickets to game 5 of the NBA Finals on June 10th, 2019 in Toronto at Scotiabank Arena. (total approximate retail value $4,600.00 CAD). Any transportation to the game or any associated expenses will not be included and will be the Winner’s and/or Winner’s guest’s (“Guest”) sole responsibility.

    6. ODDS OF WINNING. The odds of winning will depend on the number of eligible entries received before the Contest closes.

    7. SKILL-TESTING QUESTION. Skill-testing question required for the potential winner as a condition of winning the Prize.

    8. WINNER SELECTION AND CONFIRMATION. The potential winner of this Contest will be chosen by the Sponsor on June 9th 2019, at 1400 Castlefield Avenue, Toronto, Ontario, M6B 4C4, by random draw and will be notified on June 9th, 2019 at 9:00 AM ET; two attempts to contact the winner will be made before moving on to the next potential winner. Upon being contacted, the potential winner has 5 hours to respond. Thereafter, a second attempt will be made. The potential winner then will have 1 hour to respond, with no response, the Sponsor will move on to the next potential winner. Any potential winner that cannot be contacted will forfeit their prize and another potential winner will be chosen by way of random draw. The potential winner must provide their full name, e-mail address and telephone number. The potential winner must also provide completed copies of the Sponsor’s Winner Waiver by June 9th, 2019 by 5:00 p.m. ET.

    The potential winner of this Contest will be declared by the Sponsor to be the winner if they meet all of the eligibility criteria set out in these Contest Rules. If a potential winner does not meet the eligibility criteria, he/she will be disqualified and will not receive a prize and another potential winner will be chosen by way of random draw.

    Disputes regarding identity of entrant: If the identity of an entrant is disputed, the entry will be deemed to have been submitted by the Authorized Account Holder (the individual assigned to the social media account associated with the entry). Each entrant may be required to provide proof that he/she is the Authorized Account Holder associated with an entry.

    9. RELEASE AND INDEMNIFICATION. The winner of this Contest must sign the Sponsor’s Declaration of Eligibility and Liability/Publicity Release form (“Winner Release”) to: (i) confirm compliance with the Contest Rules; (ii) agree to accept prizes as awarded; (iii) release, discharge and hold harmless the Sponsor, its departments and agencies, parent, related and affiliated companies, subsidiaries, franchisees, advertising and promotional agencies, counsel, marketing partners, Twitter and Instagram and each of their respective directors, officers, employees, shareholders, successors, sponsors, partners, licensees, subsidiaries, agents, artists, advisors, assignees, and all others associated with the administration, development and execution of the Contest (the “Released Parties”) from and against any and all manner of action, cause of action, claim or demand, loss or injury, use or misuse of a prize or any travel related thereto, and the use of the Entry by the Sponsor, suit, debt, covenant, contract, including legal fees and expenses, whatsoever, including but not limited to, claims based on negligence (except for material injury caused by an intentional or gross fault if winner is a resident of Quebec), breach of contract and fundamental breach, failure of any third party contractor or supplier used in connection with any aspect of the Contest to perform or deliver any goods or services, any act of God or any other event beyond the Released Parties’ control, any dissatisfaction of any kind by a winner with any aspect of the Contest or any prize, liability for physical injury, death, or property damage which the entrants, guests, their heirs, successors or assigns have, might have or could have suffered, by reason of or arising out of an entrant’s participation in the Contest and/or in connection with the acceptance and/or exercise by the entrant of the Prize as awarded; and (iv) indemnify the Released Parties against any loss, damage or expense, including legal fees, that any of the Released Parties may suffer or incur in connection with any claim or demand by any third party, including any 3rd party referred to or depicted in any entry, or as a result of any non-compliance by an entrant with any of the Contest Rules or participation in the Contest and/or in connection with the acceptance and/or exercise by an entrant of a prize and the use of the Entry by Sponsor.

    The Sponsor is not responsible for: (i) incorrect or inaccurate entry information which may affect a person’s ability to participate in the Contest or be awarded a prize, including but not limited to human error, technical malfunctions, lost or delayed entries for any reason, mail failures, omission, or any combination thereof, and entries which fail to fully comply with these Contest Rules; (ii) technical failures of any kind, including, but not limited to malfunctions, interruptions, or disconnections in phone lines or network hardware or software; (iii) lost, incomplete, delayed, mutilated or misdirected entries or Winner Release or Travel Companion Release forms; (iv) injury or damage to the entrant’s computer or to any other individual’s computer related to or resulting from participating in, or downloading any material regarding the Contest or accepting a prize; (v) any injury or damage to persons or property which may be caused, directly or indirectly, in whole or in part, from entrant’s participation in the Contest or receipt or use or misuse of any prize, including any travel related thereto and the use of the Entry by Sponsor; (vi) the security or privacy of information transmitted via computer networks or for breaches of privacy due to interference by third party computer “hackers” or otherwise; or (vii) late, lost, misdirected or unsuccessful efforts to notify a potential winner.

    OTHER CONDITIONS.

    The Sponsor reserves the right, to terminate or amend this Contest at any time and in any way, without prior notice. Without limiting the foregoing, if, for any reason, the Contest is not capable of running as originally planned for any reason, the Sponsor reserves the right, to cancel the Contest and conduct a random draw from all previously received eligible entries received by the relevant Contest Closing Date and to substitute prizes of equal or greater value.

    Publicity and entrant information: By participating in the Contest, entrants consent to the use of their name, address, e-mail address, postal code, telephone number, social media handles, comments and image, whether on videotape, photograph or any other means, and their entries, including photo submissions, as may be edited or translated in the Sponsor’s sole discretion for the administration of this Contest or any publicity carried out by the Sponsor, or any of their marketing partners without further notice or compensation.

    Law: The Contest is void where prohibited by law and subject to all applicable Canadian federal, provincial, municipal and local laws. Any litigation respecting the awarding of a prize may be submitted to the board only for the purpose of helping the parties reach a settlement. For residents of all other jurisdictions, this Contest shall be governed exclusively by the laws of the province of Ontario, including all issues and questions concerning the construction, validity, interpretation and enforceability of these Contest Rules, rights and obligations between entrants and the Sponsor, and procedural provisions, without giving effect to any choice of law or conflict of law rules. Any dispute shall be adjudicated by the courts sitting in Toronto, Ontario.

    Rule amendments: The Sponsor reserves the right, in its sole discretion, to amend or modify these Contest Rules, or modify, cancel or suspend this Contest, without prior notice for any reason whatsoever, including without limitation in the event that any cause beyond the reasonable control of the Sponsor corrupts, or threatens to corrupt, the security or proper administration of the Contest.

    Intellectual Property: All intellectual property, including but not limited to trademarks, logos, designs, promotional materials, web pages, source codes, images, drawings, illustrations, slogans and representations are owned by the Sponsor. All rights are reserved. Unauthorized copying or use of any copyrighted material or other intellectual property without the express written consent of the Sponsor is strictly prohibited.
